1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," "User") and Axolect ("we," "us," "our," "the Company") governing your access to and use of the Axolect platform, website at axolect.com, waitlist, and all related services (collectively, the "Service").

By accessing or using the Service - including joining our waitlist, creating an account, or interacting with any part of the platform - you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

We reserve the right to update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. If you disagree with a change, you may close your account or remove yourself from the waitlist before the change takes effect.

2. Description of Service

Axolect is a collaborative infinite-canvas workspace for financial research. The Service allows users to:

  • Create and manage visual research canvases with cards, zones, connections, and notes.
  • View live and delayed financial market data (cryptocurrency prices, stock quotes) sourced from third-party providers.
  • Collaborate in real-time with other users on shared canvases, including cursor presence, comments, voting, and discussions.
  • Build user profiles with display names, handles, avatars, karma scores, and community ranks.
  • Share canvases publicly or via invitation links with role-based access control (owner, editor, viewer).

The Service is currently in an early access / waitlist phase. Features, availability, and pricing are subject to change without notice during this period. Accounts currently have restricted access based on waitlist approval.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age if you are in India.
  • If you are outside India, be at least the minimum age required to lawfully consent to use the Service in your jurisdiction.
  • Have the legal capacity to enter into a binding agreement.
  • Not be barred from using the Service under applicable law.
  • Not have been previously banned or had your account terminated by us.

By creating an account or joining the waitlist, you represent and warrant that all information you provide is accurate, current, and complete, and that you will keep it updated.

4. Account Registration & Security

4.1 Account Creation

You may register using an email and password or through a third-party authentication provider (e.g., Google). You are responsible for maintaining the confidentiality of your login credentials.

4.2 Account Security

  • You are solely responsible for all activity under your account.
  • You must notify us immediately at security@axolect.com if you suspect unauthorized access.
  • We are not liable for losses caused by unauthorized use of your account if you have failed to safeguard your credentials.
  • We reserve the right to suspend or terminate accounts that show signs of compromise.

4.3 One Account Per Person

Each individual may maintain only one account. We reserve the right to merge or terminate duplicate accounts.

5. Waitlist

By joining our waitlist, you agree that:

  • We will use your email address solely to send you product updates, early access invitations, and launch announcements.
  • Joining the waitlist does not guarantee access to the Service, any specific features, or any particular position in the queue.
  • You may unsubscribe from waitlist communications at any time via the unsubscribe link in our emails or by contacting us.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

6.1 Prohibited Content

  • Post, upload, or share content that is unlawful, defamatory, obscene, harassing, threatening, or hateful.
  • Distribute financial advice, trade signals, or investment recommendations while misrepresenting your qualifications or intent.
  • Post misleading or fraudulent financial information with the intent to manipulate markets or deceive other users.
  • Upload malicious content, including viruses, malware, or scripts designed to disrupt the Service.
  • Share content that infringes on any third party's intellectual property, privacy, or other rights.

6.2 Prohibited Conduct

  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our infrastructure.
  • Circumvent, disable, or interfere with security features, rate limiting, or access controls.
  • Scrape, crawl, or use automated means to extract data from the Service without our written consent.
  • Manipulate the karma/voting system through sockpuppet accounts, vote rings, or coordinated inauthentic behavior.
  • Reverse engineer, decompile, or disassemble the Service or any part of its source code.
  • Impersonate any person or entity, or falsely claim an affiliation.
  • Use the Service in any way that could damage, overburden, or impair our servers or networks.
  • Resell, sublicense, or commercially exploit the Service without our written authorization.

We reserve the right to investigate violations and take appropriate action, including content removal, account suspension, or permanent termination, at our sole discretion and without prior notice.

7. User-Generated Content

7.1 Your Content

"User Content" means any data, text, comments, images, links, canvas layouts, or other materials you create, upload, or share through the Service. You retain ownership of your User Content.

7.2 License Grant

By posting User Content, you grant Axolect a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating, improving, and promoting the Service. This license terminates when you delete your User Content or your account, except:

  • Where your content has been shared with other users or on public canvases and has been further interacted with.
  • Where we are required to retain it for legal compliance.
  • Reasonable backup and archival copies, which are deleted within 30 days.

7.3 Public Canvases

Content placed on canvases marked as public is visible to anyone with the link and may be indexed, shared, or embedded by others. You acknowledge and accept this visibility when making a canvas public.

7.4 Content Responsibility

You are solely responsible for your User Content. We do not endorse, verify, or guarantee the accuracy of any User Content, including financial data, trade ideas, market analysis, or investment opinions shared on the platform.

8. Financial Data Disclaimer

Axolect is not a financial advisor, broker, or dealer. The Service displays market data sourced from third-party providers (including CoinGecko and Alpaca Markets) for informational and educational purposes only.

  • No investment advice. Nothing on the platform constitutes financial, investment, tax, or legal advice.
  • No guarantees of accuracy. Market data may be delayed, incomplete, or inaccurate. We do not guarantee the timeliness, accuracy, or completeness of any financial data displayed.
  • Your responsibility. All investment decisions are yours alone. You should consult a qualified financial advisor before making any investment decisions. You acknowledge that trading and investing involve substantial risk of loss.
  • No liability for losses. We are not liable for any financial losses, damages, or missed opportunities arising from your reliance on information displayed on or through the Service.

9. Intellectual Property

9.1 Our Property

The Service - including its design, source code, algorithms, user interface, branding, logos, documentation, and all related intellectual property - is owned by Axolect and protected by copyright, trademark, and other intellectual property laws. These Terms grant you no rights to our intellectual property except the limited license to use the Service as described herein.

9.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such feedback into the Service without obligation or compensation to you.

10. Subscription Plans & Payment

10.1 Free and Paid Tiers

Waitlist users participate at no cost. Following launch, the Service may offer free and paid subscription tiers. Details of available plans, features, and pricing will be published on our website.

10.2 Billing and Renewals

If you subscribe to a paid plan:

  • You authorize us to charge the payment method you provide on a recurring basis. All fees are stated in USD unless otherwise specified and are non-refundable.
  • Paid subscriptions renew automatically. You may cancel at any time through your account settings.

10.3 Refund Policy

If you are a first-time subscriber to a future paid tier, you may request a full refund within 14 days of your initial purchase if you are dissatisfied, by contacting support@axolect.com. EU/EEA consumers may have additional cancellation rights under the Consumer Rights Directive.

11. Third-Party Services & Links

The Service integrates with and displays data from third-party providers (e.g., CoinGecko, Alpaca Markets).

  • We are not responsible for the availability, accuracy, or content of any third-party service.
  • Your use of third-party services is governed by their respective terms and privacy policies.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or harmful components.
  • In no event shall Axolect, its directors, employees, partners, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with: (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content.

13. Indemnification

You agree to defend, indemnify, and hold harmless Axolect and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding related to to your access to, or use of, the Website or these Terms shall be instituted only in a state or federal court located in Delaware. You and Axolect agree to submit to the jurisdiction of, and agree that venue is proper in, these courts.

Nothing in these Terms limits or excludes any non-waivable consumer, privacy, or data protection rights that may apply to you under mandatory law in your place of residence, including India.

15. India-Specific Terms

The following terms apply to users in India, in addition to the rest of these Terms.

15.1 Data Protection and Grievances

For privacy requests or grievances relating to personal data processing, contact privacy@axolect.com with the subject line "India Privacy Grievance". For escalation, contact legal@axolect.com. We will handle grievances in accordance with applicable Indian law.

15.2 Children's Data

If you are under 18 years of age in India, you may not use the Service unless and until we provide a compliant verifiable parental/lawful guardian consent mechanism and such consent has been validly obtained.

15.3 Consumer-Facing Disclosures for Paid Plans

If and when paid plans are offered to consumers in India, we will provide required disclosures on applicable checkout and support pages, including legal entity details, principal address, grievance channels, and refund/cancellation information.
